WHOLESALE TERMS & CONDITION

📄 B2B WHOLESALE ADDENDUM

Designing Thangs LLC

Effective Date: January 2026

This B2B Wholesale Addendum (“Addendum”) supplements and forms part of the Terms of Service of Designing Thangs LLC (“Designing Thangs,” “we,” “us,” or “our”).

This Addendum applies only to approved wholesale, bulk, or business purchasers (“Wholesale Buyer,” “Buyer,” or “you”).

By placing a wholesale order with Designing Thangs LLC, you agree to be bound by this Addendum in addition to our Terms of Service, Privacy Policy, and all other posted policies.

1. WHOLESALE ELIGIBILITY & APPROVAL

Wholesale purchasing is available only to approved business entities.

Designing Thangs LLC reserves the right to approve, deny, suspend, or revoke wholesale access at any time.

Approval as a wholesale buyer does not guarantee ongoing pricing, availability, or future approval.

2. WHOLESALE PRICING & MINIMUMS

Wholesale pricing, minimum order quantities (MOQs), and bulk discounts are determined by Designing Thangs LLC and may vary by product.

Wholesale pricing:

Is not retroactive
Is subject to change without notice
May differ between ready-to-ship, made-to-order, and custom items

All prices are listed in USD unless otherwise stated.

3. PAYMENT TERMS (B2B)

Unless otherwise agreed to in writing, all wholesale orders require full payment prior to production or shipment.

Accepted payment methods may include:

Shopify checkout
Invoice or bank transfer (approved accounts only)

Late payments may result in delayed production, order cancellation, or suspension of wholesale privileges.

4. PRODUCTION & FULFILLMENT

Wholesale production timelines vary by product type and order size.

Production begins once payment and all required information are received
Timelines are estimates and not guaranteed
Partial shipments may occur unless otherwise agreed

Designing Thangs LLC is not responsible for delays caused by incomplete information, changes requested after production begins, or events beyond our control.

5. CUSTOM & MADE-TO-ORDER WHOLESALE ITEMS

Custom or made-to-order wholesale items:

May require proof approval (when applicable)
Are non-refundable and non-cancellable once production begins
Are produced based on Buyer-approved or Buyer-provided details

Failure to respond to approval requests within the stated timeframe may result in production proceeding as-is.

6. DIGITAL PRODUCTS & FILES (WHOLESALE)

Wholesale purchase of digital products or files grants a limited commercial license only, subject to our Digital Product Licensing Terms.

Digital wholesale products:

Are licensed, not sold
May not be resold, shared, or redistributed as digital files
Are non-refundable once delivered or accessed

7. RESELLING & BRAND USE

Wholesale Buyers may resell physical products purchased from Designing Thangs LLC only in finished form.

The following are strictly prohibited without written permission:

Reselling designs, artwork, or files as standalone products
Claiming ownership of Designing Thangs designs
Altering branding in a way that misrepresents origin

Designing Thangs LLC retains all intellectual property rights.

8. RETURNS, REFUNDS & CANCELLATIONS (WHOLESALE)

All wholesale sales are final.

Returns, refunds, or exchanges are not permitted except in cases of:

Verified manufacturing defects
Errors caused solely by Designing Thangs LLC

Any claims must be submitted in writing within 5 business days of delivery.

9. TAXES & COMPLIANCE

Wholesale Buyers are responsible for:

Providing valid resale or exemption documentation where applicable
Collecting and remitting any applicable sales or use taxes on resale

Designing Thangs LLC is not responsible for Buyer tax obligations.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Designing Thangs LLC shall not be liable for indirect, incidental, or consequential damages arising from wholesale purchases.

Liability, if any, is limited to the amount paid for the affected wholesale order.

11. TERMINATION OF WHOLESALE RELATIONSHIP

Designing Thangs LLC reserves the right to terminate wholesale access at any time for:

Policy violations
Payment issues
Misuse of intellectual property
Conduct deemed harmful to the brand or business

Termination does not relieve the Buyer of outstanding payment obligations.

12. GOVERNING LAW

This Addendum is governed by the laws of the State of Minnesota, without regard to conflict of law principles.
